# MELOTUNES HUB ## MUSIC DISTRIBUTION AGREEMENT & TERMS OF SERVICE This Music Distribution Agreement (“Agreement”) is entered into between **MELOTUNES HUB** (“Distributor/Company”) and the Artist, Label, Producer, Copyright Owner, or Authorized Representative (“Artist/Label/You/Your”). This Agreement governs all audio, video, musical works, sound recordings, artwork, metadata, and related content (“Content”) submitted by the Artist/Label for digital music distribution services provided by MELOTUNES HUB. By accepting this Agreement, the Artist/Label confirms that they have read, understood, and agreed to all terms mentioned below. --- # 1. COMPANY DETAILS **MELOTUNES HUB** is a Digital Music Distribution and Content Management Service Provider engaged in distributing audio/video content across global digital streaming platforms including but not limited to: * Spotify * Apple Music * YouTube Music * Amazon Music * JioSaavn * Wynk Music * Facebook * Instagram * TikTok * Other DSPs (Digital Service Providers) --- # 2. CONTENT OWNERSHIP DECLARATION The Artist/Label hereby declares and guarantees that: * All submitted content is 100% original and legally owned by them. * They possess all copyrights, neighboring rights, publishing rights, synchronization rights, trademark rights, and distribution rights required for exploitation of the content. * The content does not infringe any copyright, trademark, privacy, publicity, or intellectual property rights of any third party. * No fake, copied, AI-stolen, unauthorized remix, sampled, or pirated material is included. The Artist/Label shall remain fully responsible for all uploaded content. --- # 3. GRANT OF RIGHTS The Artist/Label grants MELOTUNES HUB a worldwide, non-exclusive or exclusive (as mutually agreed) right to: * Distribute * Monetize * Publish * Deliver * Stream * Promote * Market * License the submitted content across all digital platforms globally. This right includes monetization through streaming, downloads, Content ID systems, social media monetization, and future digital formats. --- # 4. TERRITORY The rights granted under this Agreement shall apply worldwide (“Global Territory”). --- # 5. TERM OF AGREEMENT This Agreement shall remain valid for a period of Five (5) Years from the date of acceptance unless terminated earlier under the terms mentioned herein. The Agreement may automatically continue for ongoing distributed content unless removal is requested in writing. --- # 6. REVENUE SHARE & ROYALTY TERMS * The Artist/Label shall receive **60% of Net Revenue** earned from the distributed content. * MELOTUNES HUB shall retain **40%** towards distribution, operational, promotional, management, and service charges. * “Net Revenue” means actual revenue received from digital platforms after platform commissions, taxes, banking charges, currency conversion fees, refunds, chargebacks, deductions, and third-party fees. * Royalty payments are subject to GST, TDS, withholding taxes, and applicable government regulations. * Payments shall only be processed after revenue is received and finalized from partner platforms. * Minimum payout thresholds may apply. MELOTUNES HUB reserves the right to withhold royalties in case of: * Copyright claims * Fraudulent activity * Fake streams * Artificial promotion * Metadata manipulation * Platform policy violations * Legal disputes --- # 7. DELIVERY OF MATERIALS The Artist/Label agrees to provide: * Master audio/video files * Artwork/cover image * Accurate metadata * Song credits * Identity proof if requested * Ownership proof if requested The Artist/Label is solely responsible for accuracy of all submitted information. --- # 8. COPYRIGHT CLAIMS & LEGAL LIABILITY If any copyright dispute, strike, takedown notice, legal complaint, Content ID conflict, trademark claim, ownership dispute, or third-party legal issue arises regarding submitted content: * The Artist/Label shall bear full legal responsibility. * MELOTUNES HUB shall not be held liable for losses, damages, penalties, account suspension, legal proceedings, or platform actions. * MELOTUNES HUB may immediately remove, suspend, mute, block, or disable access to disputed content without prior notice. The Artist/Label agrees to indemnify and hold harmless MELOTUNES HUB from all claims, damages, liabilities, legal expenses, and disputes arising from submitted content. --- # 9. PLATFORM POLICY COMPLIANCE The Artist/Label agrees not to engage in: * Fake streaming * Bot streaming * Artificial playlist manipulation * Fraudulent monetization * Copyright infringement * Metadata fraud * Misleading artist names * Duplicate content uploads * Unauthorized remixes * Spam releases Violation may result in: * Permanent account termination * Revenue withholding * Content removal * Blacklisting from future services * Legal action if applicable --- # 10. EXCLUSIVE CONTENT CONDITION If the distributed content is submitted under an Exclusive Distribution model: * The Artist/Label shall not distribute the same content through another distributor during the Agreement period without written permission from MELOTUNES HUB. * Any breach of exclusivity shall be treated as a material violation of this Agreement. --- # 11. MARKETING & PROMOTION MELOTUNES HUB may use commercially reasonable efforts to promote and market the content. However, the Company does not guarantee: * Specific streaming numbers * Viral success * Playlist placements * Revenue amounts * Subscriber growth * Social media reach All platform algorithms and editorial decisions remain independent. --- # 12. REPORTING & ACCOUNTING Sales and royalty reports shall be shared periodically based on availability from digital platforms. Reporting timelines may vary depending on platform reporting cycles. --- # 13. TERMINATION Either party may terminate this Agreement by providing written notice. MELOTUNES HUB reserves the right to immediately suspend or terminate services in cases involving: * Copyright violations * Fraudulent activities * Fake streams * Legal complaints * Breach of Agreement * Platform policy violations Termination does not remove liabilities incurred before termination. --- # 14. REMEDIES In case of material breach of this Agreement: * MELOTUNES HUB may suspend payments, remove content, freeze royalties, or terminate services until the issue is resolved. * The Company reserves the right to retain disputed royalties until investigation completion. * Legal recovery and compensation rights remain reserved. --- # 15. LIMITATION OF LIABILITY MELOTUNES HUB shall not be liable for: * Platform algorithm changes * Revenue fluctuations * Account suspension by third-party platforms * Delayed payments from DSPs * Technical errors beyond reasonable control * Indirect or consequential damages Maximum liability, if any, shall not exceed the total revenue actually payable to the Artist/Label. --- # 16. FORCE MAJEURE MELOTUNES HUB shall not be responsible for failure or delay caused by events beyond reasonable control including: * Government restrictions * Cyber attacks * Platform shutdowns * Internet failures * Natural disasters * War * Strikes * Regulatory changes --- # 17. GOVERNING LAW & JURISDICTION This Agreement shall be governed and interpreted according to the laws of India. All disputes shall fall under the exclusive jurisdiction of the competent courts of India. --- # 18. COMPLETE AGREEMENT This Agreement constitutes the complete understanding between both parties and supersedes all prior oral or written communications. Any amendments must be made in writing and accepted by both parties. --- # DECLARATION & ACCEPTANCE I hereby confirm that: * I am the legal owner or authorized representative of the submitted content. * All submitted information is true and accurate. * I have carefully read and understood all Terms & Conditions of MELOTUNES HUB. * I agree to distribute my content with MELOTUNES HUB. * I accept full legal responsibility for my uploaded content. * I understand that violation of copyright or platform policies may result in content removal, royalty withholding, legal action, or account termination. --- # REQUIRED ACCEPTANCE CHECKBOX ☐ **I HAVE READ AND AGREE TO THE TERMS & CONDITIONS, REVENUE SHARE POLICY, COPYRIGHT POLICY, AND MUSIC DISTRIBUTION AGREEMENT OF MELOTUNES HUB. I CONFIRM THAT ALL SUBMITTED CONTENT IS ORIGINAL, LEGALLY OWNED BY ME, AND DOES NOT VIOLATE ANY COPYRIGHT OR THIRD-PARTY RIGHTS.**
